These Terms and Conditions ("Agreement") set out the basis on which Bijak Labs ("we", "us", "our") provides AI integration consultancy and setup services to clients ("you", "the Client"). Please read them carefully before engaging our services.

By contacting us, signing a service scope document, or making a payment, you confirm that you have read, understood, and agreed to this Agreement. If you do not agree, please do not proceed with our services.

1. Definitions

  • "Agreement" — means these Terms and Conditions, together with any signed scope document or invoice.
  • "Service" — means any of the AI integration services described on our website and in your scope document, including Helpful Chat Assistant Setup, Everyday Workflow Support, and Insight & Reporting Companion.
  • "Client" / "You" — the individual, sole proprietor, partnership, or company that engages Bijak Labs for services.
  • "We / Us / Our" — refers to Bijak Labs, located at Jalan Ampang 88, 50450 Kuala Lumpur, Malaysia.
  • "Deliverables" — the outputs, configurations, dashboards, documentation, or other items agreed upon in your scope document.
  • "Third-Party Tools" — software, platforms, or services provided by parties other than Bijak Labs that may be configured as part of your service.
  • "Confidential Information" — any business data, customer records, trade information, or operational details shared by the Client during the engagement.

2. Acceptance of Terms

This Agreement becomes binding when you:

  • Submit an enquiry or consultation request through our website or directly;
  • Sign or acknowledge a scope document or service proposal; or
  • Make full or partial payment for any service.

By engaging our services, you confirm that you are at least 18 years old and have the legal capacity to enter into this Agreement, whether on your own behalf or on behalf of a registered business.

If you are entering this Agreement on behalf of a company or organisation, you represent that you are authorised to bind that entity to these terms.

3. Service Description

Bijak Labs provides AI integration consulting and setup services for small businesses based in Malaysia. Our current service offerings are:

Helpful Chat Assistant Setup — RM 580

Configuring an AI-assisted chat tool for your website or WhatsApp, including a review of common customer queries, tone calibration, and a handover session. Typical duration: 1–2 weeks.

Everyday Workflow Support — RM 980

Mapping routine business tasks and introducing selected AI tools to reduce manual effort. Includes a working session, tool setup, and written documentation. Typical duration: 3–4 weeks.

Insight & Reporting Companion — RM 1,400

Turning existing business records into clear, readable summaries and dashboards. Includes a data review, a configured reporting view, and an optional monthly check-in. Typical duration: 4–6 weeks.

The precise scope of each engagement is confirmed in writing before work begins. Services are delivered remotely and in person (where agreed) within Malaysia.

4. User Responsibilities

To allow us to carry out work effectively, you agree to:

  • Provide accurate and complete business information relevant to the agreed scope;
  • Make a designated point of contact available during the engagement;
  • Respond to questions or requests for input within a reasonable timeframe (typically 3 working days);
  • Ensure you hold the necessary rights or permissions for any data, content, or systems you share with us;
  • Use any tools or configurations we set up in accordance with those tools' own terms of service;
  • Not use our deliverables for unlawful purposes, to mislead customers, or to violate any applicable Malaysian or international law.

Delays caused by late responses or unavailability of required information may affect timelines. We will communicate any such impact clearly and in writing.

5. Intellectual Property

All methodologies, frameworks, processes, and proprietary approaches used by Bijak Labs remain our intellectual property. This includes internal planning templates, prompt structures, and workflow designs developed independently of any specific client project.

Upon full payment of the agreed fee, we grant you a non-exclusive, non-transferable licence to use the deliverables prepared specifically for your engagement. You may use them for your own business operations but may not resell, sublicense, or represent them as independently developed work.

Any content or data you provide to us during the engagement (such as product information, FAQs, or business records) remains your property. We use it solely to carry out the agreed work and do not retain or share it after the engagement concludes, unless agreed otherwise in writing.

6. Payment Terms

All prices are quoted in Malaysian Ringgit (RM) and inclusive of any applicable fees unless stated otherwise. Payment terms for each project are confirmed in the scope document. The typical structure is:

  • A deposit (typically 50%) upon acceptance of the scope document;
  • The remaining balance upon delivery of the final agreed deliverables.

We accept bank transfer and other methods as agreed. Invoices are issued in writing for each payment stage.

Refund policy: Because our services involve time and consultancy work, refunds are assessed on a case-by-case basis. If work has not yet commenced, a full refund of the deposit may be requested. Once work is underway, refunds will reflect the portion of work not yet completed at the time of cancellation.

Late payments may result in a pause to the engagement until the outstanding amount is settled.

7. Service Delivery Terms

Timelines indicated on our website are estimates based on typical engagements. The agreed timeline for your specific project will be confirmed in writing in the scope document.

We will communicate clearly at the start of the project, at each key milestone, and at handover. You will be asked to review deliverables and raise any concerns before the project is marked as complete.

Changes to agreed scope after work has begun may affect timelines and pricing. Any scope changes will be discussed and confirmed in writing before additional work is undertaken.

We work with third-party AI and software tools as part of our services. Availability and features of those tools are subject to their respective providers' terms and may change. We will notify you of any material changes that affect your deliverables.

8. Disclaimers

Our services are provided with care and a genuine effort to be useful to your business. However, we cannot promise specific business outcomes such as increased sales, customer retention, or operational savings. Results depend on many factors outside our control, including how tools are used, your business environment, and market conditions.

AI tools can make errors. We configure and calibrate them thoughtfully, but we recommend maintaining human oversight of AI-generated outputs, particularly for customer-facing communications.

Our services are not legal, financial, medical, or regulatory advice. If your business requires guidance in any of those areas, please consult a qualified professional.

9. Limitation of Liability

To the extent permitted by Malaysian law, our total liability to you in connection with any service engagement is limited to the total fees paid by you for that specific engagement.

We are not liable for any indirect, consequential, or incidental losses, including but not limited to lost revenue, lost data, business interruption, or damage to reputation.

We are not responsible for the availability, performance, or changes to third-party platforms or tools used as part of your setup. We will make reasonable efforts to inform you of any significant changes that come to our attention.

10. Indemnification

You agree to hold Bijak Labs harmless from any claims, costs, or liabilities arising from:

  • Your use of deliverables in a manner inconsistent with this Agreement;
  • Content or data you provide that infringes a third party's rights;
  • Any unlawful or improper use of tools or configurations we set up for you.

11. Termination

Either party may end the engagement by giving written notice. If you choose to end the engagement early, payment is due for all work completed up to that point. We will provide a clear summary of completed work on request.

We reserve the right to pause or withdraw from an engagement if:

  • Payment is overdue by more than 14 calendar days;
  • Required information or access is not provided within an agreed timeframe; or
  • Continuing the work would require us to act in a way inconsistent with this Agreement or applicable law.

Sections 5, 8, 9, 10, and 12 of this Agreement survive termination.

12. Dispute Resolution

This Agreement is governed by the laws of Malaysia. Any disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of Malaysia.

Before initiating any formal proceeding, we ask that both parties make a genuine effort to resolve the matter directly. Please contact us at [email protected] with a clear description of the concern. We will respond within 10 working days.

If informal resolution is not possible within 30 days, either party may refer the matter to mediation through the Malaysian Mediation Centre before pursuing litigation.

13. General Provisions

  • Entire Agreement: This Agreement, together with any signed scope document, constitutes the full understanding between the parties and supersedes prior discussions.
  • Severability: If any provision of this Agreement is found to be unenforceable, the remaining provisions continue in full effect.
  • Waiver: Failure to enforce any provision of this Agreement does not constitute a waiver of the right to do so in future.
  • Assignment: You may not assign your rights or obligations under this Agreement without our written consent. We may assign our obligations to a successor in the event of a business transfer.
  • Notices: Formal notices under this Agreement should be sent by email to [email protected] or in writing to our registered address.
  • Confidentiality: Both parties agree to keep Confidential Information received from the other party private and not to disclose it to third parties without written consent, except where required by law.

14. Changes to Terms

We may update these Terms and Conditions from time to time. When we do, we will update the "Last Updated" date at the top of this page.

Changes take effect from the date of publication. For ongoing engagements, we will notify you directly of any material changes that affect your project. Continued use of our services after changes are published constitutes acceptance of the revised terms.
